End User Licence Agreement

Agreement and scope

This End User Licence Agreement applies to reusable, pre-built, template, framework, or white-label software licensed by App Clone Labs to a customer. Bespoke deliverables may instead be assigned under a signed project agreement. The applicable order identifies what is licensed and what is assigned.

Licence grant

Subject to full payment and continued compliance with this agreement, App Clone Labs grants the licensee a perpetual, non-exclusive, non-transferable licence to install, operate, configure, and modify the licensed software for the licensee’s own business and the domains, applications, entities, or environments identified in the order.

Source code and ownership

Where source code is included, the licensee may modify its licensed copy and engage contractors to maintain it under confidentiality obligations. App Clone Labs retains ownership of pre-existing frameworks, reusable modules, methods, know-how, and the underlying product. A source-code handover does not transfer those underlying rights unless the order expressly says so.

Restrictions

• 01Do not resell, sublicense, publish, distribute, lease, share, or commercially exploit the licensed software as a competing software product unless reseller rights are expressly granted in writing.
• 02Do not remove proprietary notices, bypass licence or security controls, or represent that App Clone Labs endorses the licensee’s business.
• 03Do not use the software unlawfully, infringe third-party rights, introduce malicious code, or use it to facilitate fraud, abuse, prohibited content, or sanctions violations.
• 04Do not disclose source code to anyone except personnel and contractors who need access and are bound by appropriate confidentiality and use restrictions.

Branding and third-party rights

White-labelling replaces App Clone Labs branding with branding supplied by the licensee. The licensee is responsible for trademark clearance, domains, content, privacy notices, consumer terms, licences, and regulatory compliance. No third-party brand referenced in product marketing is licensed to the customer.

Third-party components and accounts

Open-source and commercial components remain subject to their respective licences. Cloud, payment, messaging, maps, analytics, AI, app-store, and similar accounts must be created and maintained by the licensee unless the order states otherwise. Their costs, policies, approval, and availability are outside our control.

Delivery, acceptance, and support

Delivery occurs when the software, repository, package, credentials, or access described in the order is made available. Acceptance testing, defect reporting, support, updates, and maintenance are governed by the order and Support Policy. New versions and future features are not included unless expressly stated.

Data protection and security

The licensee controls the production service and is responsible for lawful data collection, notices, consent, access control, retention, backups, incident response, and regulatory compliance. The licensee must protect source code, credentials, and infrastructure and promptly rotate any credential suspected to be compromised.

Warranty disclaimer and liability

Except for commitments expressly written in the applicable order, the software is provided to the fullest extent permitted by law without implied warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted operation, or commercial result. Liability is limited as stated in the Terms & Conditions and applicable signed agreement.

Termination and governing law

The licence may be terminated for a material breach that remains uncured after reasonable written notice, or immediately for deliberate infringement, unlawful distribution, or misuse of source code. On termination, use and distribution must stop, without affecting accrued payment obligations. This agreement is governed by Indian law, with courts in Mumbai, Maharashtra having jurisdiction subject to mandatory applicable rights.
